PROPOSED BUILD TO RENT DEVELOPMENT ON A PROPERTY MEASURING 5,390 SQUARE METRES OR 1.33 ACRES AT 21-53 HODDLE STREET, COLLINGWOOD VIC 3066 IN MELBOURNE, AUSTRALIA VIA A COLLABORATION WITH GREYSTAR REAL ESTATE PARTNERS BY WAY OF A CONTRACT OF SALE FOR THE PROPERTY AND A FUND THROUGH AGREEMENT FOR THE DEVELOPMENT OF THE PROPERTY WITH AN ESTIMATED TOTAL TRANSACTION VALUE OF AUD277.3 MILLION

Reference is made to our announcements (“Announcements”) dated 21 June 2023 and 21 June 2024 in relation to the Proposed Build to Rent (“BTR”) Development. Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements.

 

The Company wishes to announce that UEM Sunrise (Collingwood) Pty Ltd, acting as trustee for the UEM Sunrise (Collingwood) Unit Trust (“Vendor” or “Owner”) and UEM Sunrise (Collingwood Development) Pty Ltd (“Developer”) have on 27 June 2025 entered into a Deed of Variation with Evolution MIT Services Pty Ltd, acting as trustee for the GS Collingwood Property Trust I (“Purchaser” or “Investor”), to amend the terms of the Contract of Sale (“Contract”) and Fund Through Agreement (“FTA”) originally executed on 21 June 2023.

 

Pursuant to the Deed of Variation, the Condition Sunset Date for the New Equity Investor Condition of the FTA has been extended to 30 June 2025 at the request of the Investor. In the event the Investor fails to satisfy the New Equity Investor Condition by the Condition Sunset Date:

The Contract and FTA will be automatically terminated;

The Investor shall pay the Developer an amount of AUD10.6 million; and

The Investor, Owner and Developer shall have no further liability to each other.

 

Following the variation, the total estimated transaction value for the Proposals has been revised to AUD292.55 million (equivalent to approximately RM807.43 million) to reflect an increase in construction and development costs payable by the Investor to the Owner.

 

As of 7.00 p.m. on 30 June 2025 (Australian Eastern Time Zone), the Investor has not satisfied the New Equity Investor Condition.

 

Accordingly, the Contract and FTA shall be terminated with effect from 1 July 2025 and the Investor shall pay the Developer a sum of AUD10.6 million (equivalent to approximately RM29.25 million) within 30 days from the termination date.

 

Following the termination, the exclusivity agreement with the Investor will cease, and the Developer will be able to pursue the development opportunity with other potential partners and investors.

 

The above conversions are based on the exchange rate published by Bank Negara Malaysia dated 30 June 2025 at 9.00 a.m. where AUD1.00 is RM2.76.
